CoAsia Electronics Corp. has established Ethical Corporate Management Best Practice Principles which has been officially approved by BOD on Mar. 25, 2011. The Principles and articles have been disclosed on our website and Taiwan Market Observation Post System.

1. Incorporate ethics into strategy
(1) Declare ethical business philosophy, strategy and practices in policy or official documents

(2) Policy, procedures, guidance, warning and whistleblowing system against unethical conducts

(3) Risk management of illegal political donation or unethical actions with high risks

 

(1) The Ethical Corporate Management Best Practice Principles has been approved by BOD on Mar. 25, 2011. Supplier Integrity Letter are open to employees for reference.
(2) When coming on board, directors and key senior managers shall sign a statement promising to conduct themselves according to ethical management guidelines.

(3) When engaging in commercial activities, directors, supervisors, managers, employees shall not directly or indirectly offer, promise to offer, request or accept any improper benefits, nor commit unethical acts.

2. Implement Ethical Management

(1) Measurement of ethic records for business stakeholders and requirement of ethical code of conduct in contracts.


(2) A designated unit is required to report to the Board for promotion of ethical management.


(3) Set up policy and practice to avoid interest conflicts with appropriate channel to report.

 

(1) We have established compliance awareness and processed credit background review before business connections with customers, suppliers or other stakeholders.

(2) C.E.O. Office was approved as the designated unit for ethical management on the BOD meeting of May 10, 2016.

(3) A Code of Ethical Conduct is implemented proactively from the Board of Directors down.

(4) Effective accounting system, internal control system reviewed by Internal Audit Unit and/or CPA.

(5) Arrange internal/external trainings to educate ethical management.

(4) By business nature with operational risk, we have paid attention to effective accounting system and internal control system that audited regularly by Internal Audit Unit to report to the BOD with audit report.

(5) We have plans for ethical management promotion through meetings and trainings

3. Whistleblowing System
(1) Provide whistleblowing channels to handle whistleblowing cases by designated unit or personnel.
(2) Develop whistleblowing case investigation standard of procedures and protection mechanism.


(3) Set measures in place to protect whistleblowers

(1) A Code of Ethical Conduct is implemented proactively from the Board of Directors down.

(2) When employees find any of the Board of Director down has any violations of Code of Ethical Conduct, any illegal issues, or any violations of commitment of obligations may provide details to C.E.O. Office. The whistleblower identity and details provided will be fully protected.
(3) The Whistleblower Practice has been approved by the Board on May 10, 2016 to protect whistleblowers.

4. Enhance Information Disclosure
The company promises to take transparent information discloser on website and Taiwan Market Observation Post System.
